Chapter 1 —— General Provisions

1.Shanghai Jianguo Public foundation sponsored by Qu Jianguo, one of Shanghai's well-known entrepreneurs, I a juridical person approved by the peoples Bank of China and registered in shanghai civil affairs Bureau.

2.The foundation has been registered in shanghai, China.

3.The purpose of the foundation is to help public welfare and promote civilization of the society.

4.The foundation is protected by Chinese law will hold various activities according to law.

 

Chapter 2 —— Tasks

5.The foundation keeps contact with groups and individuals at home and abroad who care for public welfare to seek support and suggestions for the development of public welfare.

6.The foundation will help finance the Old, weak, sick and disabled and the construction of related facilities.

7.The foundation will support the development of education and give awards to excellent talented students.

8.The foundation will provide funds to scientific researches and cultural exchanges that benefit the development of the society.

9.The foundation will keep informed of personages who have made notable contributions to the society and help finance them when they are in difficulties.

10.The foundation will give awards to the forerunners of the country's reform and economic development both in theories and practices. To those who have made contributions to the development of ShenHua Co. Ltd. if thy are in difficulties, the foundation will also give support to them.

 

Chapter 3 —— Organizations

11.The policy-making organ of the foundation is the executive council composed of 5 to 15members who are celebrities or entrepreneurs actively supporting the foundation and all personages having donated to the foundation or helped organize the foundation. Each council member must be recommended by Chairman or two or more former council members and elected through consultation for a term of 2 years.

12.The foundation has one chairman, several vice-chairmen and one secretary. Chairman and vice-chairmen are elected by the executive council. Secretary is nominated by Chairman and appointed by the executive council. the chairman appoints and removes the management staff.

13.Rights of the executive council:
--Enact and revise regulations of the foundation
--Elect and dismiss Chairman and vice-chairmen of the foundation
--Appoint Secretary of the foundation
--Appoint honorary chairman, council members and consultants of the foundation
--Discuss the work report written by the chairman and report of budget and final accounts of the foundation 
--Make important policies of the foundation

14.Rights and duties of the council members and members of the foundation:
--Observe regulations o the foundation 
--Participate actively in various public welfare activities organized by the foundation
--Do necessary voluntary service for the foundation
--Raise funds actively for the foundation
--Participate in the name of a council member of the foundation in various social activities that accord with the purpose of the foundation
--Recommend to the foundation objects to support that accord with the purpose of the foundation
--Have priority to get the support of the foundation when he or his family is in difficulties 
--Be awarded when making notable contributions to the foundation

15.Chairman convenes the annual meeting of the executive council and provisional meetings when necessary.

16.Council meetings must be held in presence of half of its members. The decisions of the council are valid only when approved by more than half of the council members.

17.Any council member himself must be present at the council meeting. If he cannot attend the meeting, he should entrust other council members in written form to attend the meeting for him.

18.Chairman is the legal representative of the foundation. Vice-chairmen help the chairman with his daily work. Secretary takes charge of the foundation's daily operation in its standing body.  To be continued>
